Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vaultex(the "Platform"), available at vaultex.fun. Please read them carefully. By using the Platform you agree to these Terms and to our Privacy Policy and Risk Disclaimer, which are incorporated by reference.

1. Acceptance of terms

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform. If you use the Platform on behalf of an entity, you represent that you are authorised to bind that entity.

2. Eligibility and restricted jurisdictions

You must be at least 18 years old and have the legal capacity to enter into these Terms. You are responsible for ensuring that your use of the Platform is lawful in your jurisdiction.

You may not use the Platform if you are a resident of, located in, or a citizen of any jurisdiction where access to or use of the Platform is prohibited, or where doing so would require Vaultex to obtain a licence or registration it does not hold. Without limitation, the Platform is not offered to:

  • U.S. persons (as defined under U.S. securities and tax law) or persons located in the United States;
  • persons in any country subject to comprehensive sanctions by the EU, the United Nations, or the U.S. Office of Foreign Assets Control (OFAC) — including, without limitation, Cuba, Iran, North Korea, Russia, and Syria — or who appear on any applicable sanctions or watch list;
  • persons in any jurisdiction where the creation or trading of crypto-assets of this nature is restricted or unlawful.

Free informational Check tool. The Vaultex Check tool (the "Check Tool") is a free, read-only informational service that displays publicly available on-chain data and a heuristic safety score. It does not facilitate the creation or trading of any asset, does not take custody of any funds, and does not constitute financial, investment, or legal advice. The Check Tool is made available worldwide, except to persons resident in, located in, or citizens of comprehensively sanctioned jurisdictions (North Korea, Iran, Cuba, and Syria). The restrictions in this section otherwise apply to the Platform (token creation and trading), which remains unavailable in the jurisdictions listed above.

We may use technical measures (such as IP-based geoblocking) to restrict access, and we may decline service to anyone at our discretion. You must not use a VPN, proxy, Tor, geolocation spoofing, false or "burner" identities, or any other technical or deceptive means to conceal or misrepresent your location or identity, or to circumvent (or attempt to circumvent) any jurisdictional, sanctions, eligibility, or other access restriction. Doing so is a serious breach of these Terms. Any access, account, or transaction obtained by such circumvention is unauthorised, and we may restrict, suspend, or permanently ban the wallets and users involved at any time, without notice or liability. You remain fully responsible for any activity you conduct in breach of these restrictions.

By using the Platform you represent and warrant that the above is true, that you are acting on your own behalf and making your own independent decisions, and that your use does not breach any law or agreement that applies to you.

3. Nature of the Platform — non-custodial interface

Vaultex is a non-custodial, decentralised software interface and discovery layer. It lets users create and trade tokens that exist on the Solana blockchain through third-party, permissionless on-chain launch and liquidity infrastructure. Users interact directly with their own wallets and independent blockchain programs. Vaultex does not custody assets, execute trades off-chain, or hold client funds.

Vaultex is not, and does not act as:

  • a custodian, bank, or money-services business;
  • a broker, dealer, exchange, or trading venue;
  • an issuer of, or counterparty to, any token or transaction;
  • a financial, investment, legal, or tax adviser.

We provide software that helps you build and submit your own blockchain transactions. Every transaction is initiated and cryptographically signed by you, using your own self-custodied wallet, and is executed by independent blockchain programs that we do not own or control. We are merely one of potentially many interfaces to those public programs.

4. No custody of funds

We never take possession or control of your crypto-assets, private keys, or seed phrase. We cannot move, freeze, reverse, or recover your funds or transactions. You are solely responsible for the security of your wallet and for every transaction you approve. Transactions you authorise are recorded on a public blockchain and are irreversible once submitted — we cannot cancel, reverse, or recover them.

5. No financial advice

Nothing on the Platform is financial, investment, legal, or tax advice or a recommendation to buy, sell, or hold any asset. The Vaultex Safety Score and any other metrics, labels, badges, or data are automated, informational heuristics only — they are not a guarantee of safety, value, or outcome. You are responsible for your own research and decisions.

6. Token creation and user content

Anyone can create a token through the Platform. If you create a token or post content (such as names, images, descriptions, links, social handles, or comments), you represent that you own or have the rights to it and that it does not infringe any third party's rights or any law. You retain ownership of your content but grant Vaultex a worldwide, royalty-free licence to host, display, and distribute it for the operation of the Platform.

You are solely responsible for the tokens you create and the content you post. We do not endorse, verify, or curate user-generated tokens or content. We may, at our sole discretion and without notice, remove, hide, or refuse to display any token listing or content, or restrict any wallet, that we believe violates these Terms or applicable law. Off-chain listings and metadata can be hidden by us; on-chain assets and transactions cannot be altered or removed by anyone, including us.

7. Fees

The Platform charges a coin-creation fee and a trading fee, which are displayed before you confirm each action. Indicatively: a small flat creation fee, a bonding-curve trading fee, and a reduced fee on post-graduation decentralised-exchange trades. Part of the trading fee is paid to the token's creator. Solana network fees ("gas") and any third-party fees are separate and paid by you.

All fees are collected automatically on-chain as part of your transaction and are non-refundable once a transaction is confirmed. Fee rates may change; the rate shown at the time of your transaction applies. Creator earnings displayed in the interface are estimates; the amount actually claimable on-chain governs.

8. Graduation and liquidity

When a token's bonding curve reaches its funding threshold, its liquidity is migrated to a third-party decentralised-exchange liquidity pool by independent on-chain programs. This migration, the resulting pool, and any liquidity-provider tokens are handled by those third-party programs, not by Vaultex. We do not guarantee that any token will graduate, that migration will occur at any particular time, or that liquidity will be available.

9. Prohibited uses

You agree not to use the Platform to:

  • break any law, or facilitate money laundering, terrorist financing, fraud, or sanctions evasion;
  • engage in market manipulation or coordinated deceptive trading intended to mislead or defraud other users;
  • deploy bots, scripts, or other automated means to abuse, overload, or gain an unfair technical advantage on the Platform;
  • impersonate others, infringe intellectual-property or privacy rights, or post unlawful, harmful, or misleading content;
  • interfere with, attack, reverse-engineer, or gain unauthorised access to the Platform or its infrastructure.

10. Third-party services

The Platform depends on third parties we do not control, including the Solana blockchain, the third-party on-chain launch and liquidity programs it integrates, wallet providers (e.g. Phantom), RPC and data providers, and hosting and analytics services. Your use of those services is subject to their own terms, and we are not responsible for their acts, omissions, availability, or security.

11. No warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, the accuracy or completeness of any data, or that the Platform or any blockchain program is free of bugs or vulnerabilities.

12. Assumption of risk

You understand and accept all risks of using the Platform and trading crypto-assets, including total loss of funds, extreme volatility, smart-contract and protocol risk, and fraudulent or abandoned projects. These risks are described in our Risk Disclaimer, which you confirm you have read.

13. Limitation of liability

To the maximum extent permitted by law, Vaultex, its operator, and its contributors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of funds, profits, data, or goodwill, arising from or related to your use of (or inability to use) the Platform, smart-contract behaviour, third-party conduct, or market movements — even if advised of the possibility of such damages. Where liability cannot lawfully be excluded, our aggregate liability is limited to the greater of the fees you paid to Vaultex in the 30 days before the event giving rise to the claim, or EUR 100. Any claim relating to the Platform must be brought within one (1) year of the event giving rise to it; otherwise it is permanently barred, to the extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Vaultex and its operator from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content or tokens, your breach of these Terms, or your violation of any law or third-party right.

15. Intellectual property

The Vaultex name, logo, interface, and original content are owned by Vaultex and protected by law. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You may not copy, modify, or create derivative works of our brand or interface without permission.

16. Taxes

You are solely responsible for determining and paying any taxes applicable to your activity on the Platform and for any related reporting. We do not provide tax documents or advice.

17. Changes and termination

We may modify, suspend, or discontinue the Platform (in whole or in part) at any time. We may update these Terms; material changes take effect when posted, with the "Last updated" date revised. Your continued use after changes constitutes acceptance. We may restrict or terminate your access at any time for any reason, including suspected breach of these Terms.

18. Governing law and disputes

These Terms are governed by the laws of the European Union and of the EU member state in which the operator is established, without regard to conflict-of-laws rules. Subject to any mandatory consumer-protection rights you may have in your country of residence, the competent courts of that member state shall have jurisdiction over any dispute. Nothing in these Terms limits rights that cannot be limited under applicable law.

19. General

If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and Risk Disclaimer, are the entire agreement between you and Vaultex regarding the Platform. You may not assign these Terms; we may assign them in connection with a transfer of the Platform.

Nothing in these Terms creates any fiduciary, advisory, agency, or partnership relationship between you and Vaultex; we may receive fees from more than one party and may act in our own interest. We are not liable for any failure or delay caused by events beyond our reasonable control, including blockchain network failures, forks, 51% attacks, congestion, or outages (force majeure).
